TAX AUDIT PROTECTION PROGRAM
WITH MS. TAMMIE M. LLC.
The terms and conditions of this Tax Audit Protection Taxpayer Agreement (the "Agreement") govern the Tax Audit Protection Program ("Program") provided to Taxpayers of the Program ("Taxpayers") by Ms. Tammie M. LLC. By accepting enrollment in the Program, you are agreeing to the terms of this Agreement. 
1. Definitions: The following definitions are applicable to the Agreement.
A. “Taxpayer” is the individual enrolled into the Tax Audit Protection Program.
B. "Tax Audit Protection" (or the "Program") is a service program offered by Ms. Tammie M. LLC and is provided and paid for by the Taxpayer.
C. "Return" means an IRS (Internal Revenue Service) acknowledged individual federal tax return form 1040 and 1040SR and/or a state acknowledged individual state return (if applicable) for the previous year's tax return and is not otherwise excluded in this Agreement. 
D. "Negligence" means failure on the part of the tax preparer to exercise the care or apply the effort to research IRS and/or state tax codes, instructions and guidelines that a reasonably prudent tax preparer would exercise in their efforts to comply with IRS and/or state tax codes in the preparation of a tax Return; or failure on the part of the Taxpayer to exercise the care or apply the effort that a reasonably prudent person would exercise in providing their tax preparer with complete and accurate information to enable them to accurately prepare the tax Return. 
E. "Tax Preparer" means the individual completing and signing the acknowledged Return as the paid preparer. 
F. "Taxpayer" or "Member" means the individual (or individuals if filing a Joint Return) for whom the Tax Preparer completes and signs an acknowledged Return. 
G. "Company" Ms. Tammie M. LLC. 
2. Services provided by Ms. Tammie M. LLC under the Tax Audit Protection Program: From the date of contract signing and Ms. Tammie M. LLC receives payment of membership to the end of the 3-year normal statue expiration of the tax return to exclude and statue extensions. Ms. Tammie M. LLC will provide the Taxpayer with the following services to be performed exclusively by a Ms. Tammie M. LLC representative:
A. Tax Audit Protection membership will include:
i. Single 30 Minute Consultation to use when notice is received
ii. Explain your options and assist in developing a strategy
iii. Discounted prices on Tax Audit Defense and Resolution Services
3. Membership Limitations and Exclusions: The following are specifically excluded from the Tax Audit Protection membership. These services may be rendered at an additional charge:
A. Tax Audit Protection Limitations and exclusions:
i. Representation services
ii. IRS calls
iii. Computations
iv. Document preparation
v. Transcript pulls
vi. Engagement triggers
vii. Preexisting conditions
viii. Any tax years in which the Tax Audit Protection Membership was not purchased for
ix. Tax Protestors (no services available)
4. Taxpayer Responsibilities: Provide Ms. Tammie M. LLC any further assistance or documents as requested that support claims made on the Return, copies of letters/notices and any other documentation that is necessary to provide adequate assistance under the guidelines of the membership.
5. Disclosure of Information: Taxpayer hereby agrees that his/her specific Taxpayer information, including all information that Taxpayer has disclosed to the Taxpayer or has been included on the Return, may be disclosed by the Taxpayer to Ms. Tammie M. LLC and used in the manner consistent with this Agreement. 
6. Payments: There is a one-time payment for the Tax Audit Protection membership which can be paid by electronic. Refunds are not available after a 15-day period.
7. Cancellation: If, for any reason, a Taxpayer is not satisfied with the Program and wishes to terminate their membership, the Taxpayer may cancel the Taxpayer by notifying Ms. Tammie M. LLC in writing via email at info@mstammiem.com. Refunds are not available after a 15-day period.
8. The Taxpayer Representations and Acknowledgements: In return for the Services available under the Tax Audit Protection Program, the Taxpayer makes the following representations and acknowledgements: 
A. Taxpayer has read this Agreement carefully and understands the Tax Audit Protection Program. 
B. Taxpayer may cancel his/her membership before the 15-day refund period.
C. Benefits thereunder of Ms. Tammie M. LLC Tax Audit Protection Program are not assignable without the express written consent of Ms. Tammie M. LLC. Taxpayer agrees that he/she will use his/her Program Taxpayer only for his/her personal benefit. A Taxpayer's violation of this paragraph will result in immediate termination of the Tax Audit Protection Program membership.
D. Taxpayer acknowledges that Ms. Tammie M. LLC bears no responsibility for the payment of (or contribution to) any use or sales tax that may be imposed by any state or federal taxing authority on the Services provided under the Program. Payment of such taxes, to the extent imposed, shall remain the sole responsibility of the Taxpayer. 
E. Taxpayer understands that Taxpayer is responsible for paying the Tax Preparer or ERO for their services rendered. 
F. Taxpayer understands and agrees that all Ms. Tammie M. LLC is an independent contractor, and not an employee of any Taxpayers or Tax preparer.
G. Taxpayer understands and agrees that the Tax Audit Protection Program is not insurance. 
H. The Taxpayer represents and warrants that they have truthfully provided correct, accurate and complete information to the Tax Preparer and to the best of Taxpayer's knowledge, the Tax Preparer has truthfully, completely and accurately completed all tax return forms and due diligence worksheets and procedures in accordance with all applicable IRS and state (if applicable) rules, regulations, procedures, guidelines, publications and requirements, and that the Services provided under the Program are conditioned upon such completion. 
9. Disclaimer: Failure to comply with procedure and strategy actions recommended by Ms. Tammie M. LLC may result in an IRS and/or state (if applicable) ruling unfavorable to the Taxpayer. Failure or refusal to comply with requests or instructions from the IRS and/or state (if applicable) during the audit may result in adverse actions taken by the IRS and/or state to Taxpayer's detriment. In all cases, Ms. Tammie M. LLC will not be held responsible for the outcome and reserves the right to cease providing services when reasonably warranted. 
10. Disclaimer of Warranties: Ms. Tammie M. LLC is not a Tax Preparer, ERO, or a direct Provider of the tax services provided to Taxpayers other than the Tax Audit Protection Program. ACCORDINGLY, MS. TAMMIE M. LLC GIVES NO WARRANTY, EXPRESS OR IMPLIED, AS TO DESCRIPTION, QUALITY, MERCHANTABILITY, FITNESS FOR ANY PARTICULAR PURPOSE, PRODUCTIVENESS, OR ANY OTHER MATTER, FOR ANY SERVICES OR MERCHANDISE PURCHASED OR RECEIVED BY A TAXPAYER FROM A PARTICIPATING TAX PREPARER OR ERO. TAXPAYER ACKNOWLEDGES THAT HE/SHE IS NOT RELYING ON MS. TAMMIE M. LLC'S SKILL OR JUDGMENT IN SELECTING A TAX PREPARER OR ERO FOR THE SERVICES PROVIDED TO TAXPAYERS BY THE TAX 
11. General Release: Each Taxpayer who uses the Services under the Program Taxpayer hereby forever releases, acquits and discharges Ms. Tammie M. LLC and their employees, agents and affiliates from any and all liabilities, claims, demands, actions, and causes of action that such Taxpayer or Taxpayer's legal representative(s) may have by reason of any monetary damage or personal injury sustained as a result of or during the course of the use of any and all Services under the Program. The sole recourse available to a Taxpayer or Taxpayer's legal representative(s) against Ms. Tammie M. LLC shall be cancellation of the Program Taxpayer as provided in Section 6. 
12. Notices: Any and all notices, consents, approvals, requests, and other written communications given or required under the terms of this Agreement shall be deemed to have been duly given and served when sent by email, U.S. Postal mail, postage prepaid and addressed to the Taxpayer, at the address provided by the Taxpayer. 
13. Entire Agreement: This Agreement sets forth the entire agreement and understanding of the parties regarding Taxpayer in the Program. No representations, inducements, promises or agreements, or otherwise, shall be of any force or effect. The validity or unenforceability of any term of this Agreement shall in no way affect the validity or enforceability of any other terms or provisions of this Agreement. Taxpayer Acknowledges that THE PROGRAM IS NOT INSURANCE. 
14. Binding Effect: This Agreement shall be binding upon and inure to the benefit of the parties as well as their respective successors and permitted assigns. 
15. Governing Law: This Agreement shall be governed and construed in accordance with the laws of the State of North Carolina regardless of any application of principles regarding conflicts of laws. 
16. Headings: The headings or captions provided throughout this Agreement are for reference purposes only and shall in no way affect the meaning or interpretation of this Agreement. 
17. Waiver of Breach: Waiver of breach of any provision of this Agreement shall not be deemed a waiver of any other breach of the same or different provision.

IRS Transcript Pull
With Ms. Tammie M. LLC

**Terms and Conditions for IRS Transcript Pull Service**
These Terms and Conditions ("Terms") govern the use of the IRS Transcript Pull Service ("Service") provided by [Ms. Tammie M. LLC] ("Company") to both individual taxpayers and tax offices. By utilizing this Service, you agree to comply with and be bound by these Terms.
**1. Authorization and Consent:**
By using the Service, you authorize the Company to retrieve IRS transcripts on your behalf. You agree to provide accurate and complete information required for the transcript request. The Company will only use the provided information for the purpose of accessing IRS transcripts and will not disclose it to third parties.
**2. Compliance with Laws:**
Users and tax offices must comply with all applicable laws, regulations, and IRS guidelines when using the Service. The Company is not responsible for any misuse or unauthorized access to IRS transcripts by users or tax offices.
**3. Confidentiality:**
The Company will treat all information obtained through the Service as confidential. This includes IRS transcripts, personal information, and any other data collected during the process. The Company will take reasonable measures to safeguard this information.
**4. Use of Information:**
IRS transcripts obtained through the Service are solely for the purpose of assisting with tax-related matters. Users and tax offices are prohibited from using the information for any illegal, fraudulent, or unauthorized activities.
**5. Accuracy of Information:**
Users and tax offices are responsible for ensuring the accuracy of the information provided for transcript requests. The Company is not liable for any consequences resulting from inaccurate or incomplete information.
**6. Service Availability:**
The Company will make reasonable efforts to ensure the availability and reliability of the Service. However, it does not guarantee uninterrupted access to IRS transcripts and reserves the right to suspend or terminate the Service at any time without prior notice.
**7. Fees and Payments:**
The Company may charge fees for the use of the Service. Users and tax offices agree to pay the specified fees promptly. Failure to pay may result in the suspension or termination of access to the Service.
**8. Limitation of Liability:**
The Company is not liable for any indirect, incidental, special, or consequential damages arising from the use of the Service. The total liability of the Company, if any, is limited to the amount paid by the user or tax office for the Service.
**9. Termination:**
The Company reserves the right to terminate access to the Service for users or tax offices that violate these Terms. Termination may occur without prior notice.
**10. Changes to Terms:**
The Company may update these Terms at any time. Users and tax offices are responsible for reviewing the Terms periodically. Continued use of the Service after changes constitutes acceptance of the updated Terms.
By using the IRS Transcript Pull Service, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.

Terms and Conditions for The Tax Season Preparer Mentorship
This Tax Season Preparer Mentorship (the "Contract") is entered into on [Date], by and between Ms. Tammie M. LLC, hereinafter referred to as the "Company," and [Tax Preparer's Full Name], hereinafter referred to as the "Tax Preparer."
1. **Initial Investment:**
The Tax Preparer agrees to make an initial investment of $250 to participate in the mentor program provided by Ms. Tammie M. LLC. This investment is non-refundable and is payable [Specify Payment Terms].
2. **Fee Split:**
A. The Company and the Tax Preparer agree to a fee split of 70/30 for tax preparation services rendered by the Tax Preparer. The Company shall receive 30% of the total fees collected for each client referred by the Tax Preparer.
B. Use of Ms. Tammie M. LLC EFIN:**
If the Tax Preparer chooses to use Ms. Tammie M. LLC's EFIN for tax filing purposes, the fee split shall be adjusted to 60/40, with the Tax Preparer receiving 60% of the total fees collected, and the Company receiving 40%.
4. **Access to Ms. Tammie M. LLC Trainings:**
Mentees under this mentor program will be granted access to any trainings hosted by Ms. Tammie M. LLC during the tax season. This access is provided to enhance the skills and knowledge of the Tax Preparer.
5. **Marketing and Client Acquisition:**
The Tax Preparer is solely responsible for all marketing efforts and obtaining their own clients. The Company shall not be held accountable for the acquisition of clients or the marketing strategies employed by the Tax Preparer.
6. **Ownership of Information:**
All information, including but not limited to training materials, recordings, and other resources provided by Ms. Tammie M. LLC, is the exclusive property of Ms. Tammie M. LLC. Any recording, reuse, or misuse of materials created by the Company is strictly prohibited. Violation of this clause may result in rejection from the mentor program and may lead to legal action.
7. **Income Guarantee:**
The Tax Preparer acknowledges that Ms. Tammie M. LLC does not guarantee any specific amount of income during the mentorship. The success of the Tax Preparer is dependent on individual efforts, skills, and market conditions.
8. **Tax Return Minimum:**
The Tax Preparer agrees to complete a minimum of 35 tax returns during the tax season as part of their participation in the mentor program.
9. **Conflict of Interest:**
The Tax Preparer agrees to disclose any potential conflicts of interest that may arise during the mentorship. Failure to disclose such conflicts may result in termination of this Contract.
10. **Indemnification:**
The Tax Preparer agrees to indemnify and hold harmless the Company and Ms. Tammie M. LLC, their officers, directors, employees, and agents, from and against any and all claims, losses, liabilities, damages, expenses, and costs (including reasonable attorneys' fees) arising out of or relating to any breach of this Contract or any negligent or willful act or omission by the Tax Preparer.
11. **Attorney's Fees:**
In the event of any legal action or proceeding arising out of or in connection with this Contract, the prevailing party shall be entitled to recover its reasonable attorney's fees and costs.
12. **Electronic and Cyber Security:**
The Tax Preparer acknowledges that ensuring the security of electronic data and information is their responsibility. The Tax Preparer agrees to implement reasonable measures to protect against unauthorized access, use, or disclosure of sensitive information.
13. **Software Usage:**
The Tax Preparer agrees to use the specified tax preparation software provided by Ms. Tammie M. LLC exclusively for the purpose of tax preparation services under this Contract.
14. **Trademark and Copyright:**
The Tax Preparer acknowledges that all trademarks, service marks, and copyrights associated with Ms. Tammie M. LLC and its materials are the exclusive property of Ms. Tammie M. LLC. The Tax Preparer agrees not to use, reproduce, or distribute such materials without prior written consent from Ms. Tammie M. LLC.
15. **Cancellation:**
Either party may cancel this Contract by providing written notice of cancellation to the other party at least [Specify Notice Period] days prior to the effective cancellation date. In the event of cancellation, the Tax Preparer shall not be entitled to a refund of the initial investment.
16. **Term and Conclusion of Mentorship:**
The mentorship under this Contract shall automatically end at the conclusion of the tax season, without extensions. Either party may terminate this Contract with written notice of [Specify Notice Period] days. The termination shall not relieve either party from its obligations accrued before the effective date of termination.
17. **Confidentiality:**
The Tax Preparer agrees to keep all client information confidential and not disclose any sensitive information to third parties. Violation of this clause may result in immediate termination of this Contract.
18. **Governing Law:**
This Contract shall be governed by and construed in accordance with the laws of New York.
